Private Equity / Corporate M&A Associate – US Law Firm | London
A leading US law firm is seeking an experienced Private Equity / Corporate M&A Associate to join its expanding London office.
This role is well suited to a UK qualified Lawyer (4-7PQE) with demonstrable experience advising financial sponsors on leveraged buyouts, private M&A and complex equity arrangements, who are comfortable working on sophisticated, cross-border PE transactions.
You will advise major global sponsors on a wide range of PE transactions, including:
- Sponsor-led leveraged buyouts and private M&A
- Structuring and negotiating management equity and incentive plans
- Co-investment and rollover equity arrangements
- Drafting and negotiating shareholders’ agreements
- Supporting sponsors throughout the full investment lifecycle, from acquisition through exit
You will work closely with market-leading lawyers across finance, tax, restructuring and other specialist practices to deliver high-quality, commercial and time-sensitive advice.
About You
- Strong experience acting for financial sponsors
- Proven exposure to leveraged buyouts and private M&A
- UK Qualified Lawyer (4-7PQE)
- Experience structuring and negotiating management equity and incentive arrangements
- A commercial, deal-focused approach and the ability to thrive in a fast-paced environment
- Training and experience from a leading international or top-tier corporate / PE practice
