Corporate Paralegal- US Law Firm- 4 days in office/ 1 day WFH

We are partnered with a leading US law firm as they have a fantastic opportunity for an experienced Corporate Paralegal to join a busy and highly regarded corporate team, on a permanent basis.

This role would suit someone with solid transactional experience who enjoys working across a broad range of corporate matters in a fast-paced environment. You’ll be supporting partners, associates and wider legal teams on a variety of corporate transactions, while also taking ownership of key processes and documentation.

Responsibilities will include:

  • Supporting lawyers across a wide range of corporate transactions
  • Conducting legal and factual research and preparing detailed corporate profiles
  • Assisting with Companies House filings and advising on corporate compliance matters
  • Supporting company formations and dissolutions
  • Assisting with private placements and transactional matters
  • Drafting, reviewing and proofreading legal documents
  • Managing and supporting virtual data rooms
  • Assisting with due diligence exercises, disclosure processes and contract summaries
  • Preparing board minutes, written resolutions and shareholder/investor consents
  • Supporting signing and completion processes, including DocuSign coordination and closing documents
  • Organising transaction bibles, closing sets and maintaining department records
  • Liaising with external agencies including notaries where required
  • Helping improve internal workflows and processes across the team

To be considered, you’ll ideally have:

  • A minimum 2:1 degree in Law, GDL or an equivalent legal qualification
  • Previous corporate transactional experience within a law firm
  • Strong organisational skills and excellent attention to detail
  • The ability to manage competing priorities and work both independently and as part of a team
  • Confident communication and proofreading skills
  • A proactive and professional approach with a strong client service mindset
  • Good working knowledge of Microsoft Office and legal research tools
  • Experience using platforms such as Westlaw, Lexis Library, Practical Law, Companies House Direct or Intapp Time would be advantageous, but not essential.
